Members’ participation, engagement and commitment through electing and serving as Board Members is crucial to our corporate governance. Nominations for our four open Board of Directors seats, each carrying a new three-year term beginning in FY27, closed on June 15th. Unfortunately, this year we received only three nominations for those four positions.
Under these circumstances, California Nonprofit Corporation Law and spSF Bylaws allow the Board to seat each nominee without a contested election. The absence of a fourth nominee established a Board vacancy not filled by the nominations.
In the interest of continuity of governance and consistent with its fiduciary duties, the Board acted by unanimous consent to fill the vacancy by electing Michael Garcia to a new three-year term. This action, along with formal certification of the three uncontested nominees, was confirmed at the June 24 2026 Regular Board Meeting.
In alphabetical order by surname, the four Board positions are filled as follows:
- Michael Garcia (appointed)
- Marsha Glassner (re-elected)
- Sinohui Hinojosa
- Sally Rose Robinson (re-elected)
With all four positions filled under these provisions, an election at BayCon is not necessary. These actions and the incoming Board will be discussed at the annual Board Meeting at BayCon on Monday afternoon, July 6. This meeting is open to all members.
